Woodward attended Harrow School and Gonville and Caius College at Cambridge University (BA in honors 1872, MA 1875).
Ordained in 1874, he served as curate at St. Barnabas, Pimlico (1847–82 & 1894–99); vicar at Little Walsingham, Norfolk (1882–88); rector at Chelmondiston, Suffolk (1888–94); and curate at St. Mark’s, Marylebone (1903–06).
After retiring, he moved to Bloomsbury, then Highgate in 1916.
